1. Scope

These Terms of Service ("Terms") apply to your use of SOXAI Inc.'s ("we", "us") international online store at soxai.co.jp/en-intl (the "Store") and to purchases made through it. By using the Store, you agree to these Terms.

For the purchase of the SOXAI RING X Limited Price Pass, the Limited Price Pass Terms apply in addition to these Terms and prevail over these Terms to the extent of any inconsistency.

2. Purchases

  • A contract is formed when your order is completed at checkout and payment is confirmed.
  • You must provide accurate and current information (including your email address) when purchasing. We are not responsible for consequences of inaccurate information provided by you.
  • We may cancel an order in cases of suspected fraud, breach of these Terms or the Limited Price Pass Terms, or error in the displayed price or description. If we cancel after payment, we will refund the amount paid.

3. Prices and Payment

Prices are shown in US dollars. Payment is made by the methods displayed at checkout and is confirmed at the time of order. Taxes or duties, if applicable under the laws of your country, are your responsibility unless stated otherwise at checkout.

4. Prohibited Conduct

You must not, in connection with the Store:

  • Provide false information or impersonate another person
  • Use the Store for fraudulent, unlawful or commercial-resale purposes
  • Transfer, resell or share rights purchased on the Store (including the Limited Price Pass and any limited-price URL) except as expressly permitted
  • Interfere with the operation of the Store, attempt unauthorized access, or place orders using automated means
  • Infringe our or any third party's intellectual property or other rights

We may cancel orders, invalidate purchased rights or restrict use of the Store by anyone who violates this section.

5. Intellectual Property

All content on the Store — including text, images, logos, product names and designs — belongs to us or our licensors. You may not reproduce, modify or redistribute it beyond the scope of personal use permitted by law. "SOXAI" and "SOXAI RING" are trademarks or registered trademarks of SOXAI Inc.

6. Disclaimer and Limitation of Liability

  • We strive to keep the Store's content accurate and available, but do not guarantee that it will be error-free, uninterrupted or fit for a particular purpose.
  • We are not responsible for damages arising from causes not attributable to us, including system failures, communications interruptions, or acts of third-party services (including Kickstarter).
  • Where we are liable to you, our liability is limited to ordinary and direct damages and shall not exceed the amount you paid to us, except in cases of our willful misconduct or gross negligence.
  • Nothing in these Terms limits any rights you have under mandatory consumer protection laws of your country of residence.

7. Personal Information

We handle your personal information in accordance with our Privacy Policy.

8. Changes to the Store and These Terms

We may change, suspend or terminate the Store or amend these Terms. Amended Terms take effect when posted on this page. Material changes affecting purchased rights will be handled in accordance with the Limited Price Pass Terms.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising in connection with the Store shall be subject to the exclusive jurisdiction of the Tokyo District Court in the first instance, unless mandatory consumer protection laws of your country of residence provide otherwise.
