SOXAI $1 VIP Pass — Terms & Conditions

These Terms & Conditions ("Terms") govern the purchase and use of the SOXAI $1 VIP Early Access Pass (the "VIP Pass") offered by SOXAI Inc. ("SOXAI," "we," "us"). By purchasing the VIP Pass, you agree to these Terms.

1. What the VIP Pass is

The VIP Pass is a one-time paid access product. For a one-time fee of USD $1.00 (or the equivalent in your local currency at checkout), you receive:

  • A private link, delivered by email, giving you access to a VIP-only discount on our upcoming Kickstarter campaign before it is made available to the general public; and
  • Priority email updates about the campaign launch.

2. What the VIP Pass is not

  • The VIP Pass is not a purchase, pre-order, or reservation of any physical product.
  • The VIP Pass fee is not credited toward, or deductible from, the price of any product or Kickstarter pledge.
  • The VIP Pass does not guarantee product availability, pricing, specifications, or a specific campaign launch date.

3. No refunds

The VIP Pass fee is a one-time access fee and is non-refundable, except where a refund is required by applicable law. If we cancel the Kickstarter campaign entirely and no VIP discount is ever made available, we will refund the VIP Pass fee upon request.

4. Delivery

Your private link will be delivered to the email address provided at checkout, prior to the public launch of the campaign. You are responsible for providing an accurate email address and for checking spam folders. If you have not received your link by the public launch date, contact us at [SUPPORT EMAIL] and we will resend it.

5. VIP discount conditions

The VIP discount is redeemable only on our Kickstarter campaign, subject to Kickstarter's own terms of use. The discount may be limited in quantity or time as stated in the campaign. Backing the campaign is entirely optional and is a separate transaction governed by Kickstarter's terms.

6. Product disclaimer

The product shown on this page is under development. Renders, specifications, and features are pre-production and subject to change.

7. Changes to these Terms

We may update these Terms; the version in effect at the time of your purchase applies to your purchase.

8. Governing law

These Terms are governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the [Yokohama] District Court, Japan, unless mandatory consumer-protection law in your place of residence provides otherwise.
