SOXAI RING X — Limited Price Pass Terms

Introduction

These Terms set out the content and conditions of the "SOXAI RING X Limited Price Pass" (the "Pass") sold by SOXAI Inc. ("we", "us", "SOXAI") through our international online store.

By purchasing the Pass, you are deemed to have agreed to these Terms. Please read them in full before purchasing.

The Pass is a digital right and differs in nature from the physical products we ordinarily sell. No shipping is involved. Cancellations and refunds are not available if you change your mind, except in the cases expressly set out in these Terms. Our standard return, exchange, cancellation, refund and warranty policies do not apply to the Pass; these Terms prevail.

What You Are Purchasing

The Pass fee of US$1.00 is the consideration for the right to back our upcoming product "SOXAI RING X" at a limited price reserved for Pass holders on the crowdfunding platform Kickstarter, where we plan to launch a campaign.

It is not payment for the product itself.

Please Confirm Before Purchasing

• After purchase, the Pass cannot be cancelled or refunded if you change your mind, except in the cases set out in these Terms.
• The Pass fee is not credited toward the product price. Your pledge on Kickstarter is a separate payment.
• You can back the campaign without a Pass. The Pass is not a requirement to purchase; it is what entitles you to the limited price.
• The Pass is available in limited quantity. Sales end once the cap is reached.
• The specific amount and conditions of the limited price will be announced when the Kickstarter project goes live. Should changes become unavoidable, we will not make changes that substantially impair the rights of Pass holders.
• Even if you purchase multiple Passes, the limited price can be applied once only.

Validity Period

The Pass is valid only during the period from the launch of the Kickstarter project until the end of the campaign.

If you do not back the project within this period, the rights under the Pass expire. The Pass fee will not be refunded in this case.

No Transfer or Resale

The following are prohibited with respect to the Pass and the limited-price URL we send you:

• Transferring, lending or selling them to any third party
• Sharing or publishing the URL via social media, forums, messaging apps or any other means
• Any other act that enables persons without a Pass to use the limited price

If we identify such conduct, we may invalidate the relevant Pass and take other necessary measures. The Pass fee will not be refunded in this case.

How We Will Contact You

The launch date of the Kickstarter project, instructions for backing, and your limited-price URL will be sent to the email address registered at the time of purchase.

• Emails necessary to deliver the Pass (launch notice, backing instructions, and your limited-price URL) are service communications and are sent to all purchasers. To ensure they reach you, we will enable email delivery for the address you register at purchase, whether or not you selected the marketing option at checkout. By purchasing the Pass, you agree to this.
• We will not use this to send you general marketing. On the basis of the above, you will receive only communications relating to the Pass and our Kickstarter project. News of other products and campaigns is sent only if you have separately chosen to receive marketing emails.
• You may unsubscribe at any time via the link in our emails. Please note that unsubscribing also stops the Pass-related communications, including your limited-price URL. If you intend to use your Pass, please do not unsubscribe before the campaign ends.
• If you have not received our instructions after we announce the launch of our Kickstarter project on our website or other channels, please contact us via the contact details at the end of these Terms.
• We are not responsible for consequences arising from an incorrectly entered email address, our emails being filtered to spam, or your inbox settings rejecting our emails. Please ensure you can receive emails from info@soxai.co.jp.
• If you need to change your registered email address after purchase, please contact us via the contact details below.

Use of Kickstarter

Kickstarter is a crowdfunding platform operated by a third party, not by SOXAI. Please note the following:

• Backing a project requires logging in to a Kickstarter account and paying by a credit or debit card (or other method) supported by Kickstarter. Please check Kickstarter for the payment methods currently available.
• We will send step-by-step instructions for backing together with our notification email.
• The limited price for Pass holders cannot be used in the Kickstarter mobile app. Please open the URL we email you in a web browser on your smartphone or computer.
• We are not responsible where you are unable to back the project due to Kickstarter's terms of use, system failures, specification changes, service suspension or similar causes attributable to Kickstarter. The Pass fee will not be refunded in these cases.

About the Project

• Under Kickstarter's rules, a project is not funded if it does not reach its funding goal within the campaign period.
• If the project launches but is not funded, or if you do not use your Pass within the validity period, the Pass fee will not be refunded.
• However, if we decide not to launch the project, or if, due to causes attributable to us, you were unable to back at the limited price, we will refund the Pass fee.
• The launch date, product specifications, pricing and delivery timing may change depending on development and the progress of the project. Please purchase the Pass with this understanding.

Cancellations and Refunds

• After payment is completed, the Pass cannot be cancelled or refunded if you change your mind.
• As no physical item is shipped, the Pass cannot be returned.
• However, we will refund the Pass fee in any of the following cases:
  • We decide not to launch the Kickstarter project
  • Due to causes attributable to us, we were unable to provide the URL or the right necessary to back at the limited price
  • A duplicate charge occurred due to a system fault on our side
  • We cancelled your order
  • Any other case in which we determine a refund to be appropriate
• Refunds are not available where the project launches but is not funded, where you did not use the Pass, or where you could not receive our notifications due to an incorrectly entered email address or other circumstances on your side.
• Refunds are made in US dollars to the original payment method. To request a refund, please contact us via the details at the end of these Terms.

Seller Information

Personal Information

In connection with your purchase of the Pass, we collect your name, email address and payment-related information. We use this information for:

1. Communications about the Kickstarter project — launch notifications, backing instructions, delivery of your limited-price URL, and project updates
2. Communications from our store — news of other products and campaigns, sent only if you have separately chosen to receive marketing emails; you may unsubscribe at any time via the link in our emails

Communications under item 1 are necessary to deliver the Pass. To ensure they reach you, we enable email delivery for your registered address as described in “How We Will Contact You” above, and we do not use this to send you the communications under item 2.

Other matters concerning personal information are as set out in our Privacy Policy.

Disclaimer

• We are not responsible for delays, changes or cancellation of the launch or progress of the project arising from natural disasters, changes in laws or regulations, transportation accidents, component procurement conditions or other causes not attributable to us.
• Where we are liable to you for damages in connection with the Pass, our liability is limited to ordinary and direct damages, except in cases of our willful misconduct or gross negligence.
• Nothing in these Terms limits any rights you have under mandatory consumer protection laws of your country of residence that cannot be excluded by agreement.

Purchases by Minors

Minors must obtain the prior consent of a legal guardian before purchasing the Pass.

Digital Content — Immediate Performance

By purchasing the Pass, you request and expressly consent to the immediate supply of this digital right, and you acknowledge that, to the extent permitted by the laws of your country of residence, you thereby lose any statutory right of withdrawal or cooling-off with respect to the Pass, except as provided in these Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising between you and us in connection with the Pass shall be subject to the exclusive jurisdiction of the Tokyo District Court in the first instance, unless mandatory consumer protection laws of your country of residence provide otherwise.

Changes to These Terms

We may amend these Terms at our discretion. Amended Terms take effect when posted on this page.
